TERMS AND CONDITIONS OF SALE
GENERAL CONDITIONS OF SALE FOR PROFESSIONAL CUSTOMERS (B2B)
These General Conditions of Sale govern the B2B purchase and sale contracts of the Products
presented by Derma Health S.r.l. on the Electronic Catalog carried out remotely via the Internet on the site b2b.dermahealth.it., owned by Derma Health S.r.l.
Before sending the Order, the Professional Customer, as defined below, is required to carefully read these General Conditions, made available to him on the aforementioned Site to allow them to be read, memorized, accepted and archived.
These General Conditions of Sale are governed by the rules on electronic commerce
(Legislative Decree No. 70/2003) and by Italian law and apply exclusively to distance sales
via the Internet, where the Customer is a person who purchases for business or professional reasons and not for personal reasons.
PARTIES TO THE CONTRACT
Parties to the Contract referred to in these General Conditions of Sale are Derma Health Srl with registered office in Camerino (MC) Via madonna delle Carceri, 6 P.I. and CF 01831970437 and exclusively the Professional Customer whose personal data are indicated in the Order and in the Order Confirmation generated by the Derma Health S.r.l. sales system.
The purchase contract stipulated between Derma Health S.r.l. and the Professional Client is submitted
to the discipline of Italian law and, among other things, to the specific legislation referred to in the Legislative Decree of 9 April 2003, n. 70, as amended, on electronic commerce.
OBJECT OF THE CONTRACT
These General Conditions of Sale for Professional Customers govern the purchase,
carried out by Professional Customers, of the Products referred to in the electronic catalog made available on the Website
b2b.dermahealth.it
PURCHASE PROCEDURE AND CONCLUSION OF THE CONTRACT
The Customer can order one or more Products present in the Electronic Catalog (illustrated and described in the
related information sheets) only after registering and creating an account, which must be authorized by Derma Health S.r.l. The authorization procedure will take place within a maximum of 48 hours from the registration request and will allow the professional customer to purchase one or more products by placing them in the "Shopping Cart".
Before actually sending the Order, the Customer is shown a page summarizing the selected Products, their price and any delivery costs.
The Order received from Derma Health S.r.l. has the value of a contractual proposal and, with the check out of the Order, the Customer acknowledges having complete knowledge and fully accepting these General Conditions. The Customer is invited to print and keep the summary of the Order.
Derma Health S.r.l. has the right to accept or not, at its own discretion and unquestionable judgment, the Order received from the Customer, without the latter being able to make claims or rights of any kind, for any title or reason, in case of non-acceptance of his Order.
Any acceptance of the Customer's proposal is confirmed by Derma Health S.r.l. by means of a notice of taking charge of the order automatically generated by the system and by a further order confirmation sent to the email address provided by the Customer in the Order management phase. The Purchase Agreement stipulated between Derma Health S.r.l. and the Customer is understood to be concluded only and exclusively after the creation of this Order Confirmation communication.
DESCRIPTION AND VISUAL REPRESENTATION OF THE GOODS
The visual representation of the Products on the Site, where available, corresponds normally
to the photographic image of the Products themselves and/or their packaging. This representation is for the purpose only
to present them for sale, without any guarantee or commitment, by Derma Health S.r.l., approx
the exact correspondence of the image depicted on the Site with the real product.
PRICES AND DELIVERY COSTS
The Customer will pay Derma Health S.r.l. the price that will appear on the Order Confirmation page. All the prices of the Products are indicated on the Site and are net of VAT.
Shipping costs are not free, except for Orders that exceed the value in euros reported in each individual customer category.
The amount of the delivery costs will be indicated in the summary page of the Order shown at
Customer before the check out of the Order itself.
PAYMENTS
Payments in execution of the Purchase Agreement may be made by credit card
credit or PayPal or bank transfer in advance, the customer is required to choose, at the time of conclusion of the purchase contract, the chosen payment method, exclusively for sales made in Italy it is possible to opt for payment on delivery.
All PayPal transactions are subject to the PayPal Privacy Policy.
TRANSPORT DOCUMENTS AND BILLING
For each Purchase Contract finalized through the Site, Derma Health S.r.l. will issue
invoice or receipt relating to the Products that will be shipped.
The information provided by the Customer at the time of the Order will be used to issue the invoice
or receipt. The Customer assumes all responsibility for the correctness of the aforementioned information.
No change in the invoice will be possible after its issue.
SHIPPING AND DELIVERY TIMES
Derma Health S.r.l will normally process the Order within 24/48 hours
(excluding weekends and holidays) from the day of communication of the Order Confirmation.
With the execution of the Order, formalized by the communication of the Order Confirmation, Derma Health. delivers the Products to the trusted courier or shipper to be sent to the address indicated by the Customer. Deliveries take place within the next 4/7 days for Italy (excluding weekends and public holidays) and within 15 days for the European area
In the event that there is a problem with the courier during transport and the goods do not arrive at
destination within the indicated term of which the Customer can promptly report it to
Derma Health srl., which will attempt to resolve the matter within a reasonable period of time.
The terms of evasion and delivery are only indicative and not guaranteed, by virtue of the many variables involved, with particular but not exclusive reference to the delivery phase by the courier. In compliance with current legislation, Derma Health Srl undertakes to deliver the products to the consumer within 30 days from the date of conclusion of the Contract. No responsibility, for any reason and/or reason, can be charged to Derma Health S.r.l. if the Products are not delivered according to the indicated deadline
Delivery times refer to the Products present in the warehouse at the time of the Order
Purchase. No responsibility can be attributed to Derma Health S.r.l. for delays in
delivery of the goods due to unforeseeable circumstances or force majeure, as well as in the event of strikes, atmospheric events,
special holidays, warehouse inventories, headquarters transfers, changes to information systems and others
extraordinary events; they are suitable to cause times longer than the indicative ones in order fulfillment,
even on the order of several days.
In any case, if the delivery times of the Product were to be delayed with respect to the times of
delivery indicated on the Site, Derma Health S.r.l. undertakes to promptly notify the Customer
via an e-mail message sent to the address indicated by the Customer before sending the Order.
VERIFICATION OPERATIONS UPON DELIVERY OF THE PRODUCTS
Upon delivery of the Products by the shipper appointed by Derma Health S.r.l., the Customer is required to check that the number of packages delivered corresponds to what is indicated in the transport document on the packaging and that the packaging itself is intact, not damaged or otherwise altered, even in the closing materials, checking with particular care for the possible presence of signs that indicate the breakage of the goods sent.
Under penalty of forfeiture, any damage to the packaging and/or the products and/or the mismatch of the
number of packages and/or indications must be immediately contested by the Customer, who must
declare, in writing, to the person in charge of delivering the products, that they are accepted “with
reserve of control” or reporting that they are “damaged”: failing that, none will be accepted
subsequent complaint. The Customer also undertakes to report promptly, and in any case no later than 24 hours
from the date of delivery, to Derma Health S.r.l. (by e-mail or Pec to the address dermahealth@pec.it) any and all possible problems concerning the integrity, correspondence and/or completeness of the Products received, under penalty of forfeiture.
RIGHT OF WITHDRAWAL
The Professional Customer does not have the right of withdrawal, both for neutral and personalized products. In any case, pursuant to and for the purposes of art. 59 paragraph 1 lett. c) of Legislative Decree 21/2014, the right of withdrawal is not applicable for the supply of made-to-measure or clearly personalized goods
CHANGES
Derma Health S.r.l. may modify, at any time and without notice, the content of these General Conditions.
These modifications that may be made will take effect from the date of publication on the Site,
as declared in the header of the same General Conditions.
In case of modifications, unless otherwise expressly agreed between Derma Health srl. And the Customer, for Contracts already concluded, the General Conditions in force at the time of the execution of said Contracts remain unaffected.
